Terms of Use

These Terms of Use ("Terms") govern your use of websites, applications, software, and services provided by Main Street Shift LLC ("Main Street Shift," "we," "us," or "our"), including our SMS-enabled services such as CircleNext (collectively, the "Service").
The Service may include different customer-facing products or product names. Product-specific descriptions and disclosures presented when you use a particular product supplement these Terms. They do not change the identity of Main Street Shift LLC as the operator unless we expressly state otherwise.
By using the Service, you agree to these Terms.
1. What the Service Does
Main Street Shift provides software that helps participating businesses operate customer communications and service workflows.
Some parts of the Service help appointment-based businesses connect newly available or cancelled appointment times with customers who have asked to hear about qualifying openings.
CircleNext is Main Street Shift LLC's customer-facing SaaS product for this purpose.
The Service is not a participating business's scheduling system, customer relationship management system, point-of-sale system, payment platform, or provider of the underlying goods or services unless we expressly state otherwise.
2. Main Street Shift Products and Participating Businesses
Main Street Shift operates the software and related communications infrastructure.
Participating businesses remain responsible for their:
- goods and services;
- schedules and availability;
- staff;
- pricing;
- customer relationships;
- legal and regulatory obligations;
- accuracy of information they provide through the Service; and
- final appointment, booking, or service decisions.
A participating business may use a Main Street Shift product to communicate with its customers. Product-specific disclosures will identify the participating business, the applicable Main Street Shift product or service, and the relevant messaging purpose.
Main Street Shift does not guarantee that a participating business will accept, confirm, complete, or honor a particular appointment or transaction.
3. Waitlists and Appointment Openings
Joining a waitlist through the Service tells the applicable participating business that you are interested in hearing about qualifying appointment openings.
Joining a waitlist does not guarantee that:
- an opening will become available;
- you will receive an offer for an opening;
- an opening will remain available; or
- you will receive or successfully book an appointment.
Appointment availability can change at any time.
If the Service allows you to respond to or claim an opening, your claim does not mean that the appointment is booked.
A claim tells the participating business that you want the offered opening. The participating business retains final authority to confirm the appointment.
Unless and until the participating business confirms the appointment, you should not treat it as booked.
4. Business Accounts and Authorized Users
Certain parts of the Service may require participating businesses and their authorized users to create or use authenticated business accounts.
Business users are responsible for:
- providing accurate account information;
- safeguarding account credentials;
- using accounts only with appropriate authority;
- restricting access to authorized personnel; and
- promptly notifying us of suspected unauthorized access.
Customers using public waitlist or appointment-opening features may not be required to create a customer account.
Phone verification used in a public workflow does not create a customer account and is not customer authentication.
5. Phone Verification Messages
The Service may require verification that a customer controls a submitted mobile phone number.
When you request phone verification, the applicable verification disclosure will identify the service or product requesting verification and the purpose of the message.
By requesting a verification code after receiving that disclosure, you consent to receive a one-time transactional SMS verification code at the mobile number you provide. Additional verification messages may be sent if you request another code.
Message and data rates may apply.
Phone verification confirms control of the submitted mobile number for the stated purpose.
Phone verification does not, by itself, enroll you in recurring appointment-opening, recovery, waitlist, marketing, or other ongoing text messages.
Consent to receive a verification code is separate from consent to receive recurring messages.
For assistance with a verification message, follow the HELP instructions presented with the applicable service or contact support@mainstreetshift.com.
Where supported, you may reply HELP for assistance or STOP to stop additional messages from that sender. Stopping verification messages may prevent you from completing phone verification.
Carriers are not liable for delayed or undelivered messages.
6. SMS-Enabled Services
Main Street Shift operates SMS-enabled services, including CircleNext.
The specific product, participating business, messaging purpose, and message types will be disclosed when consent is requested.
Depending on the product and the consent you provide, messages may include:
- appointment openings you asked to hear about;
- information about an opening offered to you;
- waitlist updates;
- updates concerning an opening you claimed;
- booking-status information;
- appointment-confirmation messages;
- notices that a claimed opening could not be confirmed, was released, or is no longer available; and
- other messages directly related to the appointment-opening, waitlist, or related booking-status workflow described when you consent.
CircleNext is a messaging program operated by Main Street Shift LLC. CircleNext messages concerning a business-specific appointment opening are sent by Main Street Shift through the CircleNext program and clearly identify the participating business to which the opening relates.
Consent applies only to the participating business, product or service, and messaging purpose presented when you opt in.
Providing a mobile number, successfully verifying a mobile number, being an existing customer, previously booking services, or having information imported into the Service does not, by itself, constitute consent to receive recurring messages.
Recurring-message consent must be provided through a separate affirmative action. When CircleNext asks you to opt in through an initially unchecked checkbox or a comparable electronic action, completing that action constitutes your electronic signature and prior express written consent to receive the recurring automated messages described in the disclosure from Main Street Shift LLC through CircleNext at the mobile number you provided, concerning the specifically identified participating business and messaging purpose.
That consent is limited to the sender, product or service, message types, and purpose identified in the disclosure. It does not authorize unrelated marketing or promotional messages.
Message frequency varies based on the applicable service, customer activity, and the availability of relevant events such as appointment openings.
Message and data rates may apply.
Consent to receive recurring messages is not a condition of purchasing goods or services from a participating business.
An initial recurring-message confirmation may identify the applicable participating business and product, restate message-frequency and rate information, and provide HELP and STOP instructions.

7. HELP, Opt-Outs, and Suppression
For help with an applicable messaging service, reply HELP where supported or contact support@mainstreetshift.com.
You may reply STOP to an applicable recurring message to unsubscribe from the CircleNext messages about the participating business represented by that business's dedicated CircleNext sender number, subject to applicable law and provider requirements.
You may also revoke consent through another reasonable method communicated to you or by contacting support@mainstreetshift.com and clearly requesting that the applicable messages stop. We will treat ordinary language that a reasonable person would understand as a request to stop texting as an opt-out request.
When an applicable opt-out is received, Main Street Shift will suppress additional messages covered by that opt-out.
We may send one final non-promotional message confirming that the opt-out has been processed. After that confirmation, no additional messages covered by the opt-out will be sent unless you later complete a new affirmative opt-in that satisfies the consent requirements then applicable to those messages.
Phone verification, a new appointment or purchase, an update to waitlist preferences, or continued use of the Service does not, by itself, clear a suppression status or restore recurring-message consent.
An opt-out from one participating business's messaging program does not automatically establish an opt-out from unrelated participating businesses or message categories, except where applicable law, carrier requirements, provider requirements, or the scope of the customer's request requires broader treatment.
Main Street Shift may apply broader suppression when reasonably necessary to ensure that a customer's request is honored.
8. Messaging Restrictions
Our SMS-enabled services are limited to the purposes disclosed when consent is collected.
Consent to receive appointment-opening or related recovery messages does not authorize unrelated marketing or promotional messages.
Participating businesses may not use the Service to send:
- spam;
- deceptive or misleading messages;
- unlawful messages;
- messages outside the disclosed purpose;
- messages for which required consent has not been obtained; or
- messages to a number subject to an applicable opt-out or suppression status.
Customer information or phone numbers obtained from another system, integration, import, appointment history, or customer list do not automatically establish messaging consent.
9. Customer Information and Preferences
When you submit information through the Service, you are responsible for providing information that is accurate to the best of your knowledge.
You should submit only a mobile number that you are authorized to use.
Preferences provided through a waitlist or similar feature may help determine which communications or opportunities are relevant to you, but they do not guarantee a particular result.
10. Acceptable Use
You may not use or attempt to use the Service to:
- violate applicable law or another person's rights;
- impersonate another person or business;
- submit a phone number you are not authorized to use for the purpose presented;
- send or facilitate unauthorized, deceptive, abusive, or unwanted messages;
- interfere with the operation or security of the Service;
- gain unauthorized access to accounts, records, systems, or data;
- circumvent access controls, verification measures, messaging restrictions, or suppression controls;
- misuse personal information obtained through the Service;
- transmit malicious code or disruptive content; or
- use the Service for purposes materially inconsistent with the functionality presented.
We may restrict or suspend use of the Service when reasonably necessary to protect customers, participating businesses, Main Street Shift, service providers, or the integrity and lawful operation of the Service.
11. Intellectual Property
The Service, including its software, design, content, product names, documentation, and related materials, is owned by Main Street Shift or its licensors and is protected by applicable intellectual-property laws.
Subject to these Terms, Main Street Shift grants you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose.
These Terms do not transfer ownership of the Service or its intellectual property.
Participating-business names, marks, and content may belong to the applicable participating business or other rights holders.
12. Third-Party Services
The Service relies on third-party infrastructure and service providers for functions such as phone verification, messaging, hosting, databases, authentication, security, and communications delivery.
Those services may experience interruptions, delays, delivery failures, or other conditions outside Main Street Shift's reasonable control.
Use of a third-party provider does not make that provider the customer-facing message sender unless a disclosure expressly states otherwise.
13. Service Availability
We aim to provide a reliable Service, but we do not guarantee uninterrupted or error-free operation.
The Service may be modified, corrected, temporarily unavailable, or discontinued in whole or in part.
During pilot and early-release periods, features and functionality may change as the Service is tested and improved.
SMS transmission and delivery depend in part on mobile carriers, telecommunications providers, recipient devices, and other systems outside our control.
14. Disclaimers
To the fullest extent permitted by applicable law, the Service is provided "as is" and "as available."
Main Street Shift does not guarantee that:
- an appointment opening or other opportunity will become available;
- an opening will remain available after it is offered;
- a particular customer will receive or respond to a message;
- an SMS message will be delivered or delivered without delay;
- a participating business will confirm an appointment;
- a claimed opening will result in a booked appointment; or
- use of the Service will result in any particular booking, revenue, or business outcome.
Main Street Shift does not provide the underlying goods or appointment services and is not responsible for their quality, safety, pricing, availability, performance, or scheduling.
Nothing in these Terms limits rights or remedies that cannot legally be limited or waived.
15. Limitation of Liability
To the fullest extent permitted by applicable law, Main Street Shift LLC and its members, managers, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the Service.
This includes, to the extent permitted by law, losses resulting from missed appointments, unavailable opportunities, delayed or undelivered messages, interruptions of the Service, unauthorized account access despite reasonable safeguards, or reliance on information that later changes.
To the fullest extent permitted by applicable law, the aggregate liability of Main Street Shift LLC and its members, managers, officers, employees, contractors, and agents for all claims arising out of or relating to the Service will not exceed the greater of one hundred U.S. dollars (US $100) or the amount you paid directly to Main Street Shift for the Service during the twelve months before the event giving rise to the claim.
Nothing in these Terms excludes or limits liability to the extent applicable law does not permit that liability to be excluded or limited.
16. Changes to the Service or These Terms
We may update the Service or these Terms as our products, practices, or applicable requirements change.
When we materially update these Terms, we will update the effective date shown above and provide additional notice when required by applicable law.
Product-specific disclosures may also be updated when a particular product or messaging program changes.
A change to these Terms or to a product name does not, by itself, expand the scope of messaging consent previously provided.
17. Governing Law
These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.
